These Terms and Conditions govern your access to and use of the Infusiox website and the purchase or use of services provided by Infusiox.
Infusiox is a proprietorship business operated by Naseem and provides website development, search engine optimization (SEO), pay-per-click advertising (PPC), social media optimization (SMO), digital marketing, online advertising, website-related services, consulting, maintenance, and other related digital services.
By accessing or using the Infusiox website, contacting us, requesting our services, accepting a proposal or quotation, signing or accepting a service agreement, approving a scope of work, or making any payment to Infusiox, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
If you do not agree with these Terms and Conditions, you should not use our website or engage Infusiox for any services.
Infusiox provides professional digital and technology-related services, which may include:
The exact services provided to a client will depend on the applicable proposal, quotation, scope of work, service agreement, invoice, or other written arrangement accepted by the client.
All projects and service engagements will be governed by the applicable proposal, quotation, statement of work, contract, maintenance agreement, invoice, purchase order, or other written agreement between Infusiox and the client.
Infusiox will generally perform only the services and deliverables specifically included within the agreed scope. Any additional work, features, revisions, services, integrations, changes, or requirements outside the agreed scope may be subject to additional fees and revised timelines.
Changes to an agreed project scope may require written approval and may result in additional costs or changes to the delivery schedule.
Clients are responsible for providing accurate, complete, and timely information, content, materials, access credentials, approvals, feedback, and other resources reasonably required for the performance of the services.
The client is also responsible for ensuring that any content, images, trademarks, data, software, documents, or other materials supplied to Infusiox may lawfully be used for the purposes of the project.
Delays caused by missing information, delayed approvals, lack of access, unavailable content, delayed payments, or other client-related circumstances may result in corresponding changes to project timelines and will not ordinarily constitute a breach by Infusiox.
All payments are due according to the applicable proposal, quotation, contract, invoice, payment schedule, or other payment agreement accepted by the client.
The client agrees to make payments within the agreed payment period. Infusiox reserves the right to pause, suspend, or delay services where payments are overdue, without being responsible for resulting project delays.
Unless otherwise agreed in writing, payment obligations are not dependent on the client's internal approval processes, business performance, expected results, or the client's receipt of payment from its own customers or third parties.
Refunds and cancellation requests are governed by the Infusiox Refund Policy.
In general, once work on a project or service engagement has commenced, payments made for that engagement are considered non-refundable, except where Infusiox expressly agrees otherwise or where a refund is required by applicable law.
Where work has not commenced, a refund request may be considered subject to the applicable Refund Policy and deduction of any costs already incurred by Infusiox.
Any project timelines or estimated delivery dates communicated by Infusiox are generally estimates unless expressly stated as fixed deadlines in a written agreement.
Timelines may be affected by client feedback, approvals, content delivery, third-party services, technical issues, scope changes, payment delays, unforeseen circumstances, or other factors outside the reasonable control of Infusiox.
Subject to full payment of all applicable fees, ownership of custom-developed deliverables specifically created for the client will transfer to the client to the extent stated in the applicable agreement.
Unless expressly transferred in writing, Infusiox retains ownership of its pre-existing materials, methodologies, processes, know-how, templates, frameworks, tools, code libraries, techniques, concepts, internal systems, and other reusable resources used in providing the services.
Third-party software, plugins, themes, fonts, stock assets, licenses, platforms, and other third-party materials remain subject to their respective ownership and licensing terms.
Until all applicable amounts have been paid in full, Infusiox may retain ownership or control of deliverables and may withhold final files, credentials, source materials, or other project assets to the extent permitted by applicable law and the applicable agreement.
The client retains responsibility for the content, data, images, logos, trademarks, documents, information, and other materials supplied to Infusiox.
The client represents that it has all necessary rights, permissions, licenses, and authority to provide such materials and authorize Infusiox to use them for the agreed project.
The client agrees to indemnify and hold Infusiox harmless from claims arising from the client's unauthorized, unlawful, infringing, or improper use or provision of such materials, to the extent permitted by applicable law.
Infusiox may use or integrate third-party services, platforms, software, hosting providers, advertising platforms, plugins, APIs, payment processors, analytics tools, or other external technologies as part of providing services.
Infusiox is not responsible for interruptions, outages, security incidents, policy changes, pricing changes, account suspensions, functionality changes, technical failures, or other actions or limitations introduced by third-party providers.
The continued availability or functionality of third-party services cannot be guaranteed by Infusiox.
Digital marketing, SEO, PPC, SMO, online advertising, and related services involve factors that may be outside the control of Infusiox.
Infusiox does not guarantee specific search engine rankings, traffic levels, leads, sales, conversions, advertising results, revenue, or other business outcomes unless expressly guaranteed in a separate written agreement.
Search engines, advertising platforms, social media platforms, algorithms, competitors, market conditions, user behaviour, and other external factors may affect the results of digital marketing activities.
Website development, maintenance, hosting-related assistance, integrations, and technical services may depend on third-party infrastructure, hosting environments, software versions, APIs, browsers, devices, plugins, and other technologies.
Infusiox will make reasonable efforts to provide services in accordance with the agreed scope but does not guarantee uninterrupted operation, compatibility with every device or software environment, or permanent availability of any third-party technology.
Each party may receive confidential or commercially sensitive information belonging to the other party during the course of a project.
Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorized persons, except where disclosure is required by law, necessary for the performance of the services, or otherwise permitted by the applicable agreement.
Infusiox may suspend or terminate services where the client fails to make required payments, materially breaches the applicable agreement, provides unlawful or infringing materials, engages in abusive or inappropriate conduct, or otherwise creates a material risk to Infusiox, its personnel, systems, or third parties.
Suspension or termination of services will not automatically release the client from payment obligations relating to services already performed, resources already allocated, expenses incurred, or other amounts legally due.
To the maximum extent permitted by applicable law, Infusiox shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, data, anticipated savings, or business interruption.
To the maximum extent permitted by applicable law, the total aggregate liability of Infusiox arising out of or relating to any service, project, agreement, or claim shall not exceed the amount actually paid by the client to Infusiox for the specific services giving rise to the claim.
Nothing in these Terms shall exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
To the extent permitted by applicable law, the client agrees to indemnify and hold harmless Infusiox, its proprietor, personnel, contractors, and service providers from claims, losses, damages, liabilities, costs, or expenses arising from the client's breach of these Terms, misuse of the services, violation of applicable law, infringement of third-party rights, or materials supplied by the client.
Clients agree to contact Infusiox directly before initiating a chargeback, payment reversal, or formal payment dispute with a bank, card issuer, payment gateway, or other financial institution.
Infusiox will be given a reasonable opportunity to review and resolve any genuine billing or service-related concern before the client initiates a chargeback or payment dispute.
Where a chargeback is initiated without first providing Infusiox a reasonable opportunity to resolve the matter, Infusiox reserves the right to contest the chargeback and provide relevant invoices, agreements, communications, project records, deliverables, and other supporting documentation to the applicable payment provider.
Unless expressly agreed otherwise in writing, Infusiox does not guarantee any particular commercial, financial, marketing, ranking, traffic, lead-generation, sales, conversion, or revenue outcome from its services.
The performance of digital services may depend on numerous factors outside the control of Infusiox, including market conditions, competition, client actions, third-party platforms, algorithms, advertising costs, consumer behaviour, website quality, and other external factors.
Infusiox shall not be responsible for delay, interruption, or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including natural disasters, internet or infrastructure failures, cyber incidents, government actions, regulatory changes, third-party outages, labour disruptions, power failures, war, civil unrest, epidemics, or other similar events.
Infusiox may update or modify these Terms and Conditions from time to time to reflect changes in its services, business practices, technology, legal requirements, or operational procedures.
Updated Terms will be published on this website. Continued use of the website or continued engagement with Infusiox after an update may constitute acceptance of the revised Terms, to the extent permitted by applicable law.
Unless otherwise required by applicable mandatory law or expressly provided in a separate written agreement, these Terms and Conditions shall be governed by and construed in accordance with the applicable laws of India.
Any dispute arising out of or relating to these Terms, the services, or the relationship between Infusiox and the client shall be subject to the jurisdiction of the appropriate courts in India, unless otherwise agreed in writing or required by applicable law.
These Terms and Conditions, together with the applicable proposal, quotation, statement of work, contract, invoice, Refund Policy, Privacy Policy, and other written agreements applicable to the client's engagement, constitute the understanding between Infusiox and the client regarding the relevant services.
If there is a conflict between these Terms and a specific written agreement accepted by both parties, the specific written agreement may prevail to the extent of the conflict.
